Ecopia Platform Referral Policy

ECOPIA PLATFORM REFERRAL POLICY

Introduction

The Platform Referral Program is designed to reward users who refer new customers to the Ecopia Platform in the form of discounts, rewards, or other compensation as set out in this Platform Referral Policy.

Qualified Participants

The Platform Referral Program is available to users of the Ecopia Platform who meet certain criteria designated by Ecopia (“Qualified Participants”). Qualified Participants may be required to submit an application to participate in the Platform Referral Program. Ecopia may reject any application in its sole discretion. Furthermore, Ecopia may rescind participation of any Qualified Recipient in the Platform Referral Program at any time, if Ecopia has reasonable belief that the Qualified Recipient has breached the terms and conditions of this Platform Referral Program or any other terms applicable to the Qualified Recipient’s use of the Ecopia Platform.

Qualified Referrals

A customer referred to the Ecopia Platform will only be eligible as a Qualified Referral if the customer is (a) is not a current or past customer of Ecopia, (b) is not already in Ecopia’s active sales pipeline, as determined by Ecopia in its sole discretion, and (c) makes a purchase through the Ecopia Platform services within ninety (90) days of the referral. A new customer’s status as a Qualified Referral expires within one (1) year of the date of the referral (the “Reward Period”).

Qualified Sales

Purchases made by Qualified Referrals will only be eligible as Qualified Sales if the sales are (a) made through the Ecopia Platform, and (b) made during the applicable Reward Period for the Qualified Referral.

Reward Models

Ecopia may reward Qualified Participants for Qualified Sales made to Qualified Referrals in accordance with one of the three following models of reward distribution (“Reward Models”). Qualified Participants who are employees of organizations who are users of the Ecopia Platform may be limited in the Reward Models available to them (i.e., Firm Credit Model or Individual Points Model).

Firm Credit Model: Under the Firm Credit Model, Ecopia may reward Qualified Participants with credits that can be applied toward future purchases of Ecopia Products through the Ecopia Platform. For Qualified Participants who are using the Ecopia Platform under the control of an organization (i.e., an employer), these credits may be applied at the individual level or at the organization level, as determined by the organization. These credits are only redeemable on the Ecopia Platform, are non-refundable and have no cash value, and will expire within 12 months if not used. Under no circumstances will Ecopia “pay out” or refund credits rewarded under the Firm Credit Model. Under the Firm Credit Model, the amount of the reward is calculated as 15% of the gross sales applicable to Qualified Sales made to Qualified Referrals during the applicable Reward Period.

Individual Points Model: Under the Individual Points Model, Ecopia may reward Qualified Participants with points with a third-party rewards platform (currently TREMENDOUS). Participation in the Individual Points Model may require the Qualified Participant to agree to the terms of the third-party reward platform. These points are non-refundable and have no cash value. Under no circumstances will Ecopia “pay out” or refund points rewarded under the Individual Points Model. Under the Individual Points Model, the Reward Amount is calculated as 5% of the gross sales applicable to Qualified Sales made to Qualified Referrals during the applicable Reward Period.

Cash Primary Model: Under the Cash Primary Model, Ecopia may reward Qualified Participants in cash payments. Ecopia may restrict participation in the Cash Primary Model only to those Qualified Participants who are not employees of organizations who are users of the Ecopia Platform, and who meet any other criteria, at Ecopia’s sole discretion. The Cash Primary Model is intended for self-employed independent consultants. Payments may be delivered through a third-party rewards platform (currently TREMENDOUS). Participation in the Cash Primary Model may require the Qualified Participant to agree to the terms of the third-party reward platform. Withdrawals of cash rewards may be subject to the terms and conditions of the third-party reward platform. All cash payments will be made in USD unless otherwise specified. Under the Cash Primary Model, the Reward Amount is calculated as 15% of the gross sales applicable to Qualified Sales made to Qualified Referrals during the applicable Reward Period.

Legal Relationship and Compliance

Participation in the Platform Referral Program does not create an employment relationship, agency, or partnership between Ecopia and the Qualified Participant. If the Qualified Participant is an employee of an organization that is a user of the Ecopia Platform, then the Qualified Participant represents and warrants that their participation in the Platform Referral Program does not violate any employment contract, internal policy, or code of ethics of their current employer, and that they have obtained any necessary internal approvals to receive referral benefits. Furthermore, whether the Qualified Participant is an employee of an organization or is participating as an independent consultant, the Qualified Participant represents and warrants that they will not make any referral or make any payment to any third party that would be prohibited by law (e.g., anti-corruption and anti-bribery statutes). Assistance with tax compliance may be provided by the third-party reward platform. However, the Qualified Participant is solely responsible for all taxes resulting from any rewards received.
